适时采取责令其调整高级管理人员、停办所有业务、限期重组等措施；<}0{> (3) In case the loan company's capital adequacy ratio decreases below 4% or its bad loan ratio is above 15%, the banking regulatory institution shall promptly order it to change the senior managers, cease all business operations, restructure within a time limit, etc.; and<0} {0> （四） 对限期内不能实现有效重组、资本充足率降至2%以下的，应责令投资人适时接管或由银行业监督管理机构予以撤销。<}0{> (4) In case the loan company fails to restructure effectively within the time limit and its capital adequacy ratio is below 2%, the banking regulatory institution shall order the investor to take it over, or cancel it in a timely manner.<0} {0> 第三十四条 银行业监督管理机构依据有关法律、法规对贷款公司的资本充足状况、资产质量以及内部控制的有效性进行检查、评价，督促其完善资本补充机制、贷款管理制度及内部控制，加强风险管理。<}0{> Article 34 The local banking regulatory institution shall, according to the related laws and regulations, check and access the capital adequacy status, asset quality and validity of the internal control of loan companies, urge them to perfect their capital replenishment mechanism, loan management system and internal control, and strengthen the risk management.<0} {0> 第三十五条 银行业监督管理机构有权要求投资人加强对贷款公司的监督检查，定期对其资产质量进行审计，对其贷款授权授信制度、信贷管理流程和内部控制体系进行评估，有权根据贷款公司的运行情况要求投资人追加补充资本，确保贷款公司稳健运行。<}0{> Article 35 A banking regulatory institution has the power to request an investor to intensify the supervision and inspection over the loan company it invests in, audit its asset quality on a regular basis, assess the loan authorization and credit system, credit management procedures and internal control system, and has the power to request the investor to supple capital in accordance with the operation status of the loan company so as to guarantee the steady and sound operation of the loan company.<0} {0> 第三十六条 贷款公司违反本规定的，银行业监督管理机构有权采取风险提示、约见谈话、监管质询、责令停办业务等措施，督促其及时进行整改，防范资产风险。<}0{> Article 36 In case a loan company violates the present Provisions, the banking regulatory institution has the power to give it a warning of risks, make an interview, conduct supervisory inquiries, order it to cease its business operations, or take other measures so as to urge it to promptly make a rectification and avoid the asset risks.<0} {0> 第三十七条 贷款公司及其工作人员在业务经营和管理过程中，有违反国家法律法规行为的，由银行业监督管理机构依照《中华人民共和国银行业监督管理法》、《中华人民共和国商业银行法》及有关法律、行政法规实施处罚；构成犯罪的，依法追究刑事责任。<}0{> Article 37 In case a loan company or any of its employees goes against any law or regulation of the state during the process of business operation and management, it or he shall be punished according to the Banking Supervision Law of the People's Republic of China, Law of the People's Republic of China on Commercial Banks and other related laws and administrative regulations. Where any crime is constituted, criminal liabilities shall be investigated.<0} {0> 第三十八条 贷款公司及其工作人员对银行业监督管理机构的处罚决定不服的，可依法提请行政复议或向人民法院提起行政诉讼。<}0{> Article 38 In case a loan company or any of its employees is dissatisfied with the punishment decision as provided for by the banking regulatory institution, it or he may file an application for an administrative review or file an administrative lawsuit with the people's court.<0} {0> 第五章 机构变更与终止<}0{> Chapter V Change and Termination of Institutions<0} {0>第三十九条 贷款公司有下列变更事项之一的，需经银监分局或所在城市银监局批准：<}0{> Article 39 In case a loan company plans to change any of the following items, it shall be subject to the approval of the banking regulatory branch bureau or the banking regulatory bureau at the locality of the loan company:<0} {0> （一） 变更名称；<}0{> (1) to change its name;<0} {0> （二） 变更注册资本；<}0{> (2) to change its registered capital;<0} {0> （三） 变更住所；<}0{> (3) to change its dwelling place;<0} {0> （四） 修改章程；<}0{> (4) to amend its articles of association; or<0} {0> （五） 中国银行业监督管理委员会规定的其他变更事项。<}0{> (5) any other modification items as provisioned by the CBRC.<0} {0> 第四十条 贷款公司有下列情形之一的，应当申请解散：<}0{> Article 40 A loan company shall apply for dissolution in the case of any of the following circumstances:<0} {0> （一） 章程规定的营业期限届满或者章程规定的其他解散事由出现；<}0{> (1) The business term as described in the articles of association expires, or any other dissolution cause as indicated in the articles of association arises;<0} {0> （二） 股东决定解散；<}0{> (2) The shareholders make a resolution of dissolution; or<0} {0> （三） 因分立、合并需要解散。<}0{> (3) It is necessary for it to dissolve owing to merger or split-up.<0} {0> 第四十一条 贷款公司解散的，由其投资人按照《中华人民共和国商业银行法》和《中华人民共和国公司法》及有关行政法规的规定实施。<}0{> Article 41 With regard to the dissolution of a loan company, its investor shall conduct in accordance with the Law of the People's Republic of China on Commercial Banks, Company Law of the People's Republic of China and related administrative regulations.<0} {0> 第四十二条 贷款公司因解散、被撤销而终止的，应当向发证机关缴回金融许可证，并及时到工商行政管理部门办理注销登记，并予以公告。<}0{> Article 42 In case a loan company is to be terminated as a result of dissolution or being cancelled, it shall hand back the financial permit to the issuing organ, go through the deregistration formalities in the administrative department for industry and commerce in a timely manner, and shall make an announcement.<0} {0> 第六章 附则<}0{> Chapter VI Supplementary Rules<0} {0>第四十三条 本规定所称农村地区，是指中西部、东北和海南省县（市）及县（市）以下地区，以及其他省（区、市）的国定贫困县和省定贫困县及县以下地区。<}0{> Article 43 The term "rural areas" as mentioned in the present Provisions mean the counties (cities) and areas at and below the county (city) level in the central-and-western regions, northeast regions and Hainan Province, as well as the poverty counties of other provinces (autonomous regions and municipalities) as ascertained by the state and the poverty counties as ascertained by the provinces and the areas below the county level.<0} {0> 第四十四条 外资金融机构在农村地区设立贷款公司，参照本规定执行。<}0{> Article 44 In case a foreign-funded financial institution intends to set up a loan company in a rural areas, it shall comply with the present Provisions.<0} {0> 第四十五条 本规定未尽事宜，按照《中华人民共和国银行业监督管理法》、《中华人民共和国商业银行法》、《中华人民共和国公司法》等法律、法规和规章执行。<}0{> Article 45 In the case of other matters not included in the present Provisions, they shall be governed by the Banking Regulatory Law of the People's Republic of China, Law of the People's Republic of China on Commercial Banks, Company Law of the People's Republic of China as well as other laws, rules and regulations.<0} {0> 第四十六条 本规定由中国银行业监督管理委员会负责解释。<}0{> Article 46 The CBRC shall be responsible for interpreting the present Provisions.<0} {0> 第四十七条 本规定自发布之日起施行。<}0{> Article 47 The present Provisions shall go into effect as of the promulgation date.<0} {0>财政部、国家税务总局关于调低部分商品出口退税率的通知 财税[2007]第90号<}0{>Circular of the Ministry of Finance and the State Administration of Taxation concerning Lowering the Export Rebate Rates for Some Commodities Cai Shui[2007] No. 90<0} {0> 各省、自治区、直辖市、计划单列市财政厅（局）、国家税务局：<}0{> Each department (bureau) of public finance, and state taxation bureau of each province, autonomous region, municipality directly under the Central Government and each city specifically designated in the state plan:<0} {0> 经国务院批准，调整部分商品的出口退税率，现就有关事项通知如下：<}0{> The export rebate rates for some commodities have been adjusted upon approval of the State Council. The related matters are hereby noticed as follows:<0} {0> 一、 取消下列商品的出口退税<}0{> 1. Cancel the export tax rebates for the following commodities:<0} {0> 1． 濒危动物、植物及其制品；<}0{> (1) Endangered animals and plants, and their products;<0} {0> 2． 盐、溶剂油、水泥、液化丙烷、液化丁烷、液化石油气等矿产品；<}0{> (2) The mineral products such as salt, solvent naphtha, cement, liquefied propane, liquefied butane and liquefied petroleum gas;<0} {0> 3． 肥料（除已经取消退税的尿素和磷酸氢二铵）；<}0{> (3) Fertilizer (not including urea and diammonium phosphate for which the tax rebates have been cancelled);<0} {0> 4． 氯和染料等化工产品（精细化工产品除外）；<}0{> (4) Chemical product such as chlorine, dyestuffs (excluding fine chemical products);<0} {0> 5． 金属碳化物和活性碳产品；<}0{> (5) Metal carbides and activated carbon products;<0} {0> 6． 皮革；<}0{> (6) Leather;<0} {0> 7． 部分木板和一次性木制品；<}0{> (7) Some wood boards and one-off wood products;<0} {0> 8． 一般普碳焊管产品（石油套管除外）；<}0{> (8) Ordinary plain carbon welded pipe products (excluding petroleum casing pipes);<0} {0> 9． 非合金铝制条杆等简单有色金属加工产品；<}0{> (9) Simple products processed from nonferrous metals such as non-alloyed aluminum bars;<0} {0> 10． 分段船舶和非机动船舶。<}0{> (10) Segmented vessels and non-motor vessels.<0} {0> 具体商品名称及税则号见附件1。<}0{> See Appendix 1 for the names and HS codes of the specific commodities.<0} {0> 二、 调低下列商品的出口退税率<}0{> 2.
