nds in Hong Kong by financial institutions within the territory of China, the present Interim Measures are formulated in accordance with the Law of the People's Republic of China on the People's Bank of China and other relevant laws and administrative regulations.<0} {0> 第二条 本暂行办法所称境内金融机构是指在中华人民共和国境内（不含香港、澳门特别行政区，台湾地区）依法设立的政策性银行和商业银行。<}0{> Article 2 Financial institutions within the territory of China herein means the policy banks and commercial banks that are established within the territory of the People's Republic of China (excluding those in Hong Kong SAR, Macao SAR or Taiwan Area) according to relevant laws.<0} {0> 第三条 本暂行办法所称人民币债券是指境内金融机构依法在香港特别行政区内发行的、以人民币计价的、期限在1年以上按约定还本付息的有价证券。具体发债期限可根据内地宏观经济金融形势和资本账户可兑换进程确定。<}0{> Article 3 RMB bonds herein means the securities that are issued in Hong Kong by financial institutions within the territory of China, valued by RMB, have a term of one year or more, and for which the principal and interests are repaid according to stipulation. The detailed term for bond issuance may be determined in light of the macro economic and financial status of the Mainland and the convertibility process of capital accounts.<0} {0> ;第四条 境内金融机构赴香港特别行政区发行人民币债券应向中国人民银行递交申请材料，并抄报国家发展和改革委员会。<}0{> Article 4 In the case of issuing RMB bonds in Hong Kong, a financial institution within the territory of China shall submit application materials to the People's Bank of China (PBC), and transmit a photocopy thereof to the National Development and Reform Commission (NDRC) as well. <0} {0>中国人民银行会同国家发展和改革委员会依法对境内金融机构赴香港特别行政区发行人民币债券的资格和规模进行审核，并报国务院。<}0{>The PBC shall, jointly with the NDRC, verify the qualification and scale of RMB bonds to be issued by financial institutions within the territory of China in Hong Kong, and report the decision to the State Council.<0} {0> 第五条 国家外汇管理局依法对境内金融机构在香港特别行政区发行人民币债券所筹的资金进行登记和统计监测，并对境内金融机构兑付债券本息进行核准。<}0{> Article 5 The State Administration of Foreign Exchange (SAFE) shall make registration and statistical monitoring upon the RMB bonds that are issued in Hong Kong by financial institutions within the territory of China, check and ratify the repayment of principal and interests by financial institutions within the territory of China as well.<0} {0> 第六条 商业银行赴香港特别行政区发行人民币债券应具备以下条件：<}0{> Article 6 In the case of issuing RMB bonds in Hong Kong, a commercial bank shall satisfy the requirements as follows:<0} {0> （一） 具有良好的公司治理机制；<}0{> 1. It has a sound corporate governance mechanism;<0} {0> （二） 核心资本充足率不低于4%；<}0{> 2. With adequacy ratio of the core capital not less than 4 percent;<0} {0> （三） 最近3年连续盈利；<}0{> 3. It has had continuous profits for the last three years;<0} {0> （四） 贷款损失准备计提充足；<}0{> 4. It has adequate reserves for loan losses;<0} {0> （五） 风险监管指标符合监管机构的有关规定；<}0{> 5. Its risk surveillant indicator is consistent with the relevant provisions of the regulatory organ;<0} {0> （六） 最近3年没有重大违法、违规行为；<}0{> 6. It has committed no major illegal or law-breaking act in the last three years; and<0} {0> （七） 中国人民银行规定的其他条件。<}0{> 7. Other requirements as prescribed by the PBC.<0} {0> 政策性银行在香港特别行政区发行人民币债券比照商业银行条件办理。<}0{> As for the issuance of RMB bonds in Hong Kong by a policy bank, it shall be handled by referring to the requirements for commercial banks.<0} {0> 第七条 金融机构发行人民币债券的申请材料应当包括：<}0{> Article 7 The application materials for the issuance of RMB bonds by a financial institution shall include:<0} {0> （一） 发行人民币债券的申请报告；<}0{> 1. an application report concerning the issuance of RMB bonds;<0} {0> （二） 董事会同意发行人民币债券的决议或具有相同法律效力的文件；<}0{> 2. the resolution of the board of directors on the approval of the issuance of RMB bonds or documents with equal legal force;<0} {0> （三） 拟发债规模及期限；<}0{> 3. the scale and term of the bonds to be issued;<0} {0> （四） 人民币债券募集说明书（附发行方案）；<}0{> 4. the introduction for collecting RMB bonds (with an attachment of issuance scheme);<0} {0> （五） 经注册会计师审计的境内金融机构近3个会计年度的财务报告及审计意见全文；<}0{> 5. financial statements of the financial institution within the territory of China for the last three years as audited by certified public accountants, and the full text of audit opinions in written form;<0} {0> （六） 律师出具的法律意见书；<}0{> 6. legal opinions in written form as issued by attorneys;<0} {0> （七） 《企业法人营业执照》（副本）复印件，《金融许可证》（副本）复印件；<}0{> 7. the (duplicate) photocopy of the Enterprise Legal Person Business License, and the (duplicate) photocopy of the Financial Permit; and<0} {0> （八） 中国人民银行要求提供的其他文件。<}0{> 8. other documents as required by the PBC.<0} {0> 第八条 中国人民银行会同国家发展和改革委员会在《中华人民共和国行政许可法》规定的期限内对境内金融机构发行人民币债券的申请做出核准或不核准的决定。同意发行的，国家发展和改革委员会同时批复其外债规模。<}0{> Article 8 The PBC shall, jointly with the NDRC, make a decision of approval or disapproval to the application for the issuance of RMB bonds by a financial institution within the territory of China within the time limit as provided in the Administrative License Law of the People's Republic of China. The NDRC shall give a reply on the scale of RMB bonds at the same time if approved.<0} {0> 第九条 境内金融机构应在中国人民银行核准其债券发行之日起60个工作日内开始在香港特别行政区发行人民币债券，并在规定期限内完成发行。<}0{> Article 9 A financial institution within the territory of China shall initiate the issuance of RMB bonds in Hong Kong within 60 workdays as of the approval of the PBC on issuance of RMB bonds, and complete the issuance within the time limit as prescribed. <0} {0>境内金融机构未能在规定期限内完成发行的，其发行人民币债券的核准文件自动失效，且不得继续发行本期债券；如仍需发行的，应依据本暂行办法另行申请。<}0{>Where a financial institution within the territory of China fails to complete the issuance within the time limit as prescribed, the document relating to approving the issuance of RMB bonds shall be invalid automatically, and this issuance of bonds shall not be continued; if it is necessary to issue such bonds, a new application shall be separately submitted in accordance with the present Interim Measures. <0} {0>规定期限内完成发行的标准按照香港金融市场管理有关规定执行。<}0{>The standards for the completion of issuance within the time limit as prescribed shall be determined in accordance with the legal provisions of Hong Kong on the administration of the financial market.<0} {0> 第十条 人民币债券发行利率或发行价格由境内金融机构和承销机构协商确定。<}0{> Article 10 The financial institution within the territory of China and the underwriting institution shall determine the interest rate or price for the issuance of RMB bonds through negotiations.<0} {0> 第十一条 境内金融机构应当在人民币债券发行工作结束后10个工作日内，将人民币债券发行情况书面报告中国人民银行、国家发展和改革委员会和国家外汇管理局，并按有关规定向所在地国家外汇管理局分局申请办理债券资金登记。<}0{> Article 11 A financial institution within the territory of China shall report the circumstances concerning the issuance of RMB bonds to the PBC, the NDRC and the SAFE within 10 workdays after conclusion of the issuance of RMB bonds, and apply for the registration of bond funds to the local SAFE branch office subject to the relevant provisions.<0} {0> 第十二条 境内金融机构发行人民币债券所募集资金的调回以及兑付债券本息涉及的资金汇划，应通过香港人民币业务清算行进行。<}0{> Article 12 The funds involving the return of money raised through issuance of RMB bonds by financial institutions within the territory of China as well as the repayment of principal and interests of bonds shall be transferred through the clearing bank for RMB business in Hong Kong.<0} {0> 第十三条 境内金融机构应在发行人民币债券所筹集资金到位的30个工作日内，将扣除相关发行费用后的资金调回境内，资金应严格按照募集说明书所披露的用途使用。<}0{> Article 13 A financial institution within the territory of China shall transfer back the money as deducted by relevant issuance expenses to the Mainland within 30 workdays after the money raised through issuance of RMB bonds is in place, and such money shall be used in strict accordance with the purposes as disclosed in the introduction.<0} {0> 第十四条 人民币债券本息的兑付应当以人民币资金支付。<}0{> Article 14 The principal and interests of RMB bonds shall be repaid in RMB. <0} {0>境内金融机构兑付人民币债券本息，应当提前5个工作日向所在地国家外汇管理局分局申请。<}0{>In the case of paying the principal and interests of RMB bonds, a financial institution within the territory of China shall submit an application to the local SAFE branch office prior to five workdays. <0} {0>银行应当凭所在地国家外汇管理局分局核发的核准件为境内金融机构办理兑付人民币债券本息的对外支付手续。<}0{>The bank shall go through the formalities for overseas repayment of the principal and interests of RMB bonds for the financial institution within the territory of China upon an approval document as issued by the local SAFE branch office.<0} {0> 第十五条 境内金融机构发行人民币债券所募集资金及后续资金调回、本息兑付应按《金融机构对境外资产负债及损益申报业务操作规程》（（96）汇国发字第13号）进行国际收支统计申报。<}0{> Article 15 With respect to the return of the money as raised through issuance of RMB bonds and the follow-up funds as well as the repayment of the principal and interests, a financial institution within the territory of China shall make a report on the international balance of payments in accordance with the Operational Rules for the Overseas Assets, Liabilities, Losses and Proceeds of Financial Institutions (Hui Guo Fa Zi [1996] No. 13).<0} {0> 第十六条 人民币债券在香港特别行政区的发售、交易、登记、托管、结算以及信息披露等事宜按照香港特别行政区的有关规定执行。<}0{> Article 16 The sales, trading, registration, trusteeship, settlement of and information disclosure regarding RMB bonds in Hong Kong shall be subject to the relevant provisions as prescribed by Hong Kong.<0} {0> 第十七条 本暂行办法由中国人民银行负责解释。<}0{> Article 17 The present Interim Measures are subject to the interpretation of the PBC.<0} {0> 第十八条 本暂行办法自公布之日起施行。<}0{> Article 18 The present Interim Measures shall enter into force as of the promulgation date.<0实践证明经常访问无忧英语教育网 www.51education.net ,能迅速提高你的英语学习能力!积沙成塔,不断提高! 本站所提供的所有信息仅供学校课堂教学及英语学习者学习研究之用，其著作权归原作者及媒体所有。 |
