{0>第二十条 总代表或首席代表不得在2个以上代表机构中任职；也不得在中国境内任何经营性机构中任职。 <}0{>Article 20 The General Representative or Chief Representative shall not work in two or more representative offices or any business institution in China. <0}

{0>第二十一条 总代表或者首席代表应当常驻代表机构主持日常工作，离开代表机构连续1个月以上的，应当指定专人代行其职，并书面报告当地中国保监会派出机构。 <}0{>Article 21 The General Representative or Chief Representative shall attend to the daily activities of the representative office on a permanent basis. If he or she consecutively stays away from the representative office for a period or more than one month, he or she shall delegate his or her responsibility as the General Representative or Chief Representative to a person specially appointed, and submit a written report to the local branch office of CIRC. <0}

{0>第二十二条 代表机构应当在每年２月底前向当地中国保监会派出机构报送上一年度的工作报告一式两份，由中国保监会派出机构转报中国保监会。 <}0{>Article 22 A representative office shall submit two copies of its annual work report of the previous year before the end of each February to the CIRC’s local branch office, who shall then forward the report to CIRC’s head office. <0}

{0>工作报告应当按中国保监会规定的格式填写。 <}0{>The work report shall follow the format prescribed by CIRC. <0}

{0>第二十三条 代表机构每年在其代表的外国保险机构会计年度结束后的6个月内，应当分别向中国保监会和当地中国保监会派出机构报送其所代表的外国保险机构上一年度的年报。 <}0{>Article 23 A representative office shall submit the annual report of the foreign insurance institution it represents to both CIRC and CIRC’s local branch office within six months after the end of each accounting year of the foreign insurance institution. <0}

{0>第二十四条 代表机构代表的外国保险机构有下列情形之一的，代表机构应当自事件发生之日起10日内，向中国保监会提交书面报告，同时抄报当地中国保监会派出机构： <}0{>Article 24 If any following major event occurs in an insurance institution that has maintained a representative office in China, the representative office shall, within 10 days after the occurrence of the event, submit a written report to CIRC and copy the report to CIRC’s local branch office. <0}

{0>（一）公司章程、注册资本或者注册地址变更； <}0{>(1) A change in its articles of association, register capital, and registered business address; <0}

{0>（二）分立、合并或者主要负责人变动； <}0{>(2) Division or merger or change of top management; <0}

{0>（三）经营严重亏损； <}0{>(3) Serious losses resulted in business operation; <0}

{0>（四）因违法、违规行为受到处罚； <}0{>(4) Penalties imposed for violations of laws and regulations; <0}

{0>（五）外国保险机构所在国家或者地区的有关主管当局对其实施重大监管措施； <}0{>(5) Major regulatory actions taken against it by the regulatory authorities of its home country or territory; <0}

{0>（六）对经营有重大影响的其他事项。 <}0{>(6) Other matters which may seriously disrupt business operation of the foreign insurance institution. <0}

{0>第二十五条 代表机构更换总代表或者首席代表的，应当向中国保监会申请，并提交下列材料： <}0{>Article 25 In case of changing a General Representative or Chief Representative, the representative office shall apply to CIRC, and submit the following documents: <0}

{0>（一）由其代表的外国保险机构董事长或者总经理签署的致中国保监会主席的申请书； <}0{>(1) A letter of application addressed to the Chairman of CIRC, and signed by its Chairman of the Board of Directors or General Manager of the concerned insurance institution; <0}

{0>（二）由其代表的外国保险机构董事长或者总经理签署的拟任总代表或者首席代表的授权书； <}0{>(2) Power of attorney of the proposed General Representative or chief representative signed by the Chairman of the Board of Directors or General Manager; <0}

{0>（三）拟任总代表或者首席代表的身份证明、学历证明和简历。 <}0{>(3) Proof of personal identity certificates, certificate of academic degree and resume of the proposed General Representative or Chief Representative. <0}

{0>第二十六条 代表机构撤销的，应当由代表机构向中国保监会申请，并提交由其所代表的外国保险机构董事长或者总经理签署的致中国保监会主席的申请书。 <}0{>Article 26 If a foreign insurance institution intends to terminate its representative office’s operation, it shall submit a letter of application addressed to the Chairman of CIRC, and signed by its Chairman of the Board of Directors or General Manager of the concerned insurance institution. <0}

{0>第二十七条 代表机构变更名称，应当向中国保监会申请，并提交由其所代表的外国保险机构董事长或者总经理签署的致中国保监会主席的申请书以及相关更名证明。 <}0{>Article 27 If a foreign insurance institution intends to change the name of its representative office, it shall submit a letter of application addressed to the Chairman of CIRC, and signed by its Chairman of the Board of Directors or General Manager of the concerned insurance institution, together with other relevant proving documents about the renaming. <0}

{0>第二十八条 代表机构出现本办法第二十五条、第二十六条、第二十七条规定情形向中国保监会提出申请的，中国保监会应当自收到完整申请材料之日起20日内，作出批准或者不予批准的决定。 <}0{>Article 28 Under the situation stipulated in Article 25, Article 26, and Article 27, CIRC shall make a decision on whether to approve or disapprove of the application within 20 days from the date of receiving a complete set of application documents. <0}

{0>决定批准的，颁发批准书；决定不予批准的，应当书面说明理由。 <}0{>If a decision of approval is made, it shall issue an approval document; if a decision of disapproval is made, it shall notify the applicant in writing and give the reasons. <0}

{0>第二十九条 代表机构只能在所在城市的行政辖区内变更办公地址。 <}0{>Article 29 A representative office can change its office location within the same administrative area it resides only. <0}

{0>代表机构应当自变更办公地址之日起5日内向当地中国保监
